TERMS & CONDITIONS
1. Acceptance & Governing Terms
All quotations, sales, and deliveries of goods by PrimeFlo Industrial LLC (“PrimeFlo Industrial”) are governed exclusively by these Terms & Conditions unless otherwise agreed to in writing. Any additional or conflicting terms contained in a buyer’s purchase order or other documents are rejected unless expressly accepted in writing by PrimeFlo Industrial.
2. Quotations & Orders
All quotations are subject to availability and confirmation at the time of order and are valid only for the period stated. Orders are accepted only upon written confirmation, receipt of a valid purchase order, or payment as applicable. All quotations are valid for thirty (30) days from the quotation date unless stated otherwise.
3. Pricing
Prices are based on current costs and availability and are subject to change prior to order acceptance. Prices do not include freight, taxes, duties, or other charges unless expressly stated in writing.
4. Payment Terms
Payment terms are as stated on the invoice. Unless otherwise agreed in writing, payment is due upon receipt of invoice. PrimeFlo Industrial reserves the right to charge interest on past-due balances at a rate of 1.5% per month (18% annually) or the maximum rate allowed by law. Buyer agrees to pay all costs of collection, including reasonable attorney’s fees.
ACH payment is preferred. Wire Transfer is accepted with a $35.00 fee. Credit card payments may be accepted upon request and may be subject to a processing fee disclosed prior to payment. CC 3.5% Service Fee Applies.
5. Taxes
Sales, use, excise, or similar taxes are not included in quoted prices unless expressly stated. Buyer is responsible for all applicable taxes. Tax-exempt customers must provide valid exemption documentation prior to invoicing.
6. Delivery, Freight & Risk of Loss
Delivery dates and lead times are estimates only and are not guaranteed. Freight charges are quoted separately unless otherwise stated. Risk of loss transfers to the buyer upon shipment from the manufacturer, supplier, or carrier. PrimeFlo Industrial is not responsible for delays caused by manufacturers, suppliers, carriers, labor disruptions, acts of God, or circumstances beyond its control.
7. Inspection & Claims
Buyer must inspect goods upon receipt. Any claims for shortages, damage, or nonconformance must be reported to PrimeFlo Industrial within twenty-four (24) hours of delivery. Failure to notify PrimeFlo Industrial within this period constitutes acceptance of the goods.
8. Returns & Cancellations
All sales are final unless otherwise agreed in writing. Returns are subject to prior written authorization and manufacturer approval and may be subject to restocking fees and return freight charges. Special-order, custom, or non-stock items are non-cancellable and non-returnable.
9. Warranties
PrimeFlo Industrial supplies new OEM equipment only. All warranties, if any, are provided solely by the original manufacturer. PrimeFlo Industrial makes no warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
10. Limitation of Liability
PrimeFlo Industrial shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, loss of production, or downtime. PrimeFlo Industrial’s total liability shall not exceed the invoice value of the goods supplied.
11. Application & Use
Buyer is solely responsible for determining the suitability of the products for their intended application. PrimeFlo Industrial does not provide engineering, installation, or application design services.
12. Export Compliance
Buyer agrees to comply with all applicable export control laws and regulations. Products may not be exported or re-exported without proper authorization.
13. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles. Venue shall lie in Maricopa County, Arizona.
14. Dispute Resolution (Arbitration)
Any dispute, claim, or controversy arising out of or relating to the sale of goods by PrimeFlo Industrial LLC that cannot be resolved through good-faith discussions may, at the election of PrimeFlo Industrial, be resolved by binding arbitration in Maricopa County, Arizona, in accordance with applicable arbitration rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
Nothing in this section shall prevent PrimeFlo Industrial from seeking injunctive or equitable relief in a court of competent jurisdiction.
NOTICE OF FEES: CREDIT CARD AND BANK TRANSFERS

All Credit/Debit card transactions with PrimeFlo Industrial, LLC will include a service fee of 3.5% of the total transaction amount.
All Wire Transfers are subject to a $35.00 Wire Transfer Fee, to be added to total order.
Alternate payment options remain in place without additional fees. These include ACH direct payments.
